- "Tenant" refers to your organization's isolated environment within the KnoxCall platform.
2. Acceptance of Terms
By creating an account, accessing our website, or using our Service in any manner, you:
- Confirm that you are at least 18 years old
- Have the legal capacity to enter into binding contracts
- Agree to comply with all applicable laws and regulations
- Accept all terms and conditions contained herein
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Create a strong password and keep it confidential
- Notify us immediately of any unauthorized access or security breach
3.2 Account Security

- All API keys and credentials stored in your Tenant
- Implementing appropriate security measures for your integration
3.3 Account Restrictions
You may not:
- Create multiple accounts to circumvent subscription limits
- Share your account credentials with third parties
- Use another user's account without permission
- Transfer your account to another party without our consent
4. Service Description
4.1 Core Features
KnoxCall provides an API credential proxy service that:
- Securely stores and manages API credentials
- Routes API requests through our secure infrastructure
- Logs and monitors API traffic in real-time
- Provides security alerts and threat detection
- Offers multi-region support and failover capabilities
4.2 Service Availability
We strive to provide 99.99% uptime, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Emergency security updates or patches
- Events beyond our reasonable control (force majeure)
- Infrastructure provider outages or issues
5. Subscription Plans and Billing
5.1 Free Trial
We offer a 7-day free trial for new accounts. No credit card is required to start your trial. After the trial period ends, you must select a paid plan to continue using the Service.
5.2 Subscription Plans
Our subscription plans are billed monthly in advance. Plan features and pricing are available at knoxcall.com/pricing. We reserve the right to modify pricing with 30 days' notice to existing customers.
5.3 Payment Terms
- Payment Processing: All payments are processed securely through Stripe
- Automatic Renewal: Subscriptions automatically renew unless cancelled
- Failed Payments: If payment fails, you have 7 days to update your payment method before service suspension
- Taxes: Prices do not include applicable taxes, which will be added to your invoice
5.4 Refund Policy
We offer a 30-day money-back guarantee. If you're not satisfied within the first 30 days, contact us for a full refund. After 30 days, subscriptions are non-refundable, but you may cancel at any time.
5.5 Plan Changes
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of your next billing cycle.
6. Acceptable Use Policy
6.1 Permitted Use
You may use the Service to:
- Securely proxy API requests to third-party services
- Monitor and analyze your API traffic
- Manage and rotate API credentials
- Implement security and compliance controls
6.2 Prohibited Activities
You may not use the Service to:
- Engage in illegal activities or violate any laws

- Reverse engineer, decompile, or disassemble the Service

- Violate the terms of service of third-party APIs you proxy through our Service
- Exceed rate limits or engage in abusive usage patterns
- Resell or redistribute the Service without authorization
- Store or transmit content that infringes intellectual property rights
- Transmit personally identifiable information (PII) without appropriate safeguards
6.3 Enforcement
We reserve the right to investigate suspected violations and take appropriate action, including:
- Warning or suspending your account
- Terminating your account and access to the Service
- Reporting violations to law enforcement authorities
- Taking legal action to protect our rights and interests

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 No Guarantee
We do not guarantee that:
- The Service will be uninterrupted, secure, or error-free
- Defects will be corrected
- The Service will meet your specific requirements
- Results obtained from using the Service will be accurate or reliable

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KNOXCALL, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, USE, OR GOODWILL
- SERVICE INTERRUPTION OR SYSTEM FAILURES
- UNAUTHORIZED ACCESS TO YOUR DATA
- ERRORS OR OMISSIONS IN CONTENT
11.2 Liability Cap
OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
11.3 Exceptions
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless KnoxCall, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable laws or regulations
- Content you submit or transmit through the Service
13. Term and Termination
13.1 Term
These Terms remain in effect while you use the Service or maintain an account.
13.2 Termination by You
You may terminate your account at any time by:
- Cancelling your subscription through the billing portal
- Contacting our support team to close your account
Termination takes effect at the end of your current billing period. You will not receive a refund for the remaining subscription period.
13.3 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms or our Acceptable Use Policy
- Your payment fails and you don't update your payment method
- We are required to do so by law or court order
- You engage in fraudulent or illegal activities
- Your use poses a security risk to the Service or other users
13.4 Effect of Termination
Upon termination:
- Your access to the Service will be immediately revoked
- Your data will be retained for 30 days, then permanently deleted
- You may request a data export within the 30-day period
- Outstanding fees remain due and payable
- Provisions that by their nature should survive will continue in effect
14. Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last Updated" date at the top of this page
- Notify you via email if changes are material
- Post a notice on our website
Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you don't agree to the changes, you must stop using the Service and cancel your account.

You agree to comply with all applicable laws, including:

- International trade sanctions and embargoes

You represent that you are not located in, or a resident of, any country subject to U.S. embargo or designated as a "terrorist supporting" country.
16. Dispute Resolution

These Terms are governed by the laws of New Zealand, without regard to conflict of law principles.
16.2 Arbitration
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the New Zealand Dispute Resolution Centre, except that either party may seek injunctive relief in court for intellectual property disputes.
16.3 Class Action Waiver
You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative actions.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and KnoxCall regarding the Service.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
17.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
17.4 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
17.5 Force Majeure
We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet/utility failures.
